Terms of Service

These Terms of Service ("Terms") govern your use of geminisoft.in, our platforms, and our professional services (together, the "Services") operated by GeminiSoft Technologies ("GeminiSoft", "we", "us"). By using the Services you agree to these Terms.

1. Who can use the Services

You must be at least 18 years old, or the age of majority in your jurisdiction. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The services we provide

GeminiSoft offers professional services including custom application development, digital transformation, strategic technology advisory, and recruitment. Specific features, limits, and pricing for any platform we offer are described on the relevant page or in a separate service order or contract you enter with us.

3. Your account and connected platforms

You are responsible for keeping your account credentials secure and for all activity under your account. When you connect a third-party platform (e.g. Google Business Profile, Meta Instagram) to one of our products via OAuth, you authorise us to act within the scope of permissions you grant. You may revoke that authorisation at any time from the relevant platform's settings or by emailing us.

4. Acceptable use

You agree not to:

  • Use the Services for unlawful, fraudulent, or harmful purposes.
  • Publish content that infringes intellectual property, defames others, contains harassing material, or violates the platform policies of any connected service (Meta Platform Terms, Google APIs Service Terms, etc.).
  • Reverse engineer, decompile, or attempt to extract the source code of the Services.
  • Attempt to disrupt, overload, or gain unauthorised access to the Services or related infrastructure.
  • Resell or sublicense the Services without prior written agreement.

5. Your content

You retain all rights to the content you provide or schedule through the Services, including text, images, and other materials. You grant GeminiSoft a limited, worldwide licence to host, transmit, and display that content solely as needed to operate the Services on your behalf.

6. Fees and payment

Fees, if applicable, are described on the relevant product page or in your service order. Subscription fees are billed in advance on a monthly or annual basis as agreed. Late payments may suspend access. All fees are exclusive of applicable taxes (including GST) which we will add to invoices.

7. Free trials

Where we offer a free trial, the trial begins on activation and ends at the date stated on the product page. We do not require a payment method to start a trial. After the trial, the service ends unless you proactively subscribe.

8. Intellectual property

All software, design, content, and trademarks belonging to GeminiSoft remain our property. Use of the Services does not grant you any right to our IP except as needed to use the Services in accordance with these Terms.

9. Privacy

Your use of the Services is subject to our Privacy Policy, which forms part of these Terms.

10. Third-party services

The Services integrate with third-party platforms (Google, Meta, AWS, payment gateways, etc.). Your use of those platforms is governed by their own terms. We are not responsible for the actions, downtime, or policy changes of third-party platforms beyond our reasonable control.

11. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, GeminiSoft will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Services. Our total liability in any 12-month period will not exceed the amount you paid us during that period (or INR 10,000 if you have made no payments).

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Services in a way that risks harm to us, our other users, or third parties. On termination we will follow our standard data-retention practices described in the Privacy Policy.

14. Changes to these Terms

We may update these Terms over time. Material changes will be communicated by email (where we have your address) or via a banner on this site at least 14 days before they take effect.

15. Governing law and disputes

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at Bangalore, Karnataka.
